This letter sets forth the terms and conditions upon which Yorba Linda Friends Church and its affiliates, officers, employees, agents, representatives, and advisors (collectively, the “Church”) may disclose to you certain confidential and proprietary information relating to the Church’s attendees, financial condition, personal data, business, and operations.

In connection with the Church’s entering into discussions with you or otherwise disclosing Confidential Information to you, you agree with the Church as follows:

(A) You will keep all Confidential Information confidential and, except as required by law, you will not disclose or reveal any Confidential Information to any person other than those who need to know the Confidential Information in connection with your evaluating whether to engage in a business transaction with the Church.

(B) You will not use any Confidential Information for any purpose other than engaging in your volunteer role with the Church. This includes the use of personal information from the Church database.

(C) If you are requested or required, pursuant to applicable law or by legal process, to disclose any Confidential Information, you agree that you will provide the Church with prompt notice of any request to enable the Church to seek an appropriate protective order or any other remedy. If such protective order or remedy is not obtained, you agree that you will furnish to counsel that you are required to disclose and you agree to use your best efforts to cooperate with the Church.

(D) If you determine that you do not wish to continue volunteering with the Church, you will promptly notify the Church of that decision. If you make that determination or the Church you will promptly deliver to the Church all of the Confidential Information, including all copies, reproductions, summaries, analysis, or extracts thereof or based thereon, in your possession.
